BY USING THE TADLOCK TEMPLATES SITE, YOU ACCEPT THE TERMS OF THIS USE/TERMS OF SERVICE AGREEMENT.

OVERVIEW

1.0 This website is operated by Tadlock Templates. Throughout the site, the terms “we”, “us” and “our” refer to Tadlock Templates. Tadlock Templates offers this website, including all content, products and related materials available to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated herein.

1.2 When you use the Tadlock Templates site, content and products in the course of your law practice you enter into this Agreement both on your own behalf and in your capacity as an employee, partner, etc. of the firm which you represent, and references in this Agreement to "you" shall mean both you as the individual user and you in your capacity as a representative of your law firm.

If you are not an attorney, when you use the Tadlock Templates site, content and products for your legal case, you enter into this Agreement on your own behalf.

1.3 Your use of the Tadlock Templates site, its content and products is conditioned on your representation that you are of legal age, at least 18 years of age, and legally able to enter into a binding contract.

1.4 Our site is hosted on Shopify Inc., which provides the online e-commerce platform that allows you to purchase the license to use the Tadlock Templates products.

2.1 The Terms of Use and Terms of Service govern your and our respective rights, obligations and responsibilities, and potential liability with respect to our use of the Tadlock Templates site, its content and products.

2.2 You understand and acknowledge that your use of the Tadlock Templates site, content and products is subject to these Terms of Use/Terms of Service and that the Terms of Use/Terms of Service, including any modifications, will constitute a binding and enforceable legal contract (“Agreement”) between you and Tadlock Templates.

By using the Tadlock Templates site, its content and products, you acknowledge and agree that you have read and agree to be bound by these Terms of Use/Terms of Service, exactly as if they were printed on paper and signed by you.

2.3 Any new products which are added to the current site shall also be subject to the terms of this Agreement.

2.4 Tadlock Templates reserves the right at any time without advance notice to you, to modify, update, revise or replace any of the terms of this Agreement at its sole discretion. The modifications, revisions, updates or replaced terms will be posted to our website.

It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes to this Agreement constitutes acceptance of those changes.

2.5 The Terms of Use and Terms of Service shall remain in effect unless and until terminated either by you or by Tadlock Templates.

Any obligations and/or liabilities incurred by you and/or Tadlock Templates prior to the termination date shall survive the termination of this Agreement for all purposes.

TERMS OF USE – USER’S OBLIGATIONS AND RESPONSIBILITIES

YOUR PERSONAL INFORMATION

3.1 You agree to provide current, complete and accurate personal information when you use the Tadlock Templates site and subscribe to the newsletter or e-mail communications.

You also agree to maintain and promptly update your personal information to keep it true, accurate, current and complete so that we can contact you as needed.

3.2 You agree to provide true, current, complete and accurate personal and financial information for all purchases made through the Tadlock Templates website.

You also agree to maintain and promptly update your personal financial information to keep it true, accurate, current and complete so that we can complete your transactions, and to notify us immediately of any changes to your credit card number, its expiration date, and/or your billing address, or if your credit card expires or is cancelled for any reason.

You may identify a third person as an authorized contact for your account with Tadlock Templates. We will give anyone listed as an authorized contact information about the nature and status of your order, information you provided to process your order, payment and contact information.

3.3 If you have provided, or if we have reasonable grounds to suspect that you have provided, any information that is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse you access to the Tadlock Templates site, its content and products.

3.4 You understand and agree that any and all rights to your Tadlock Templates account identification or contents, including any products purchased through the Tadlock Templates site, are non-transferable.

Tadlock Templates prohibits the use of a third party's account, user name or password, and you agree to not use a third party's account, user name or password at any time for the purpose of accessing and using the Tadlock Templates site and its content and for the purchase of the Tadlock Templates products.

If we suspect a user/subscriber account is being used by someone who is not the proper user/subscriber, we may temporarily disable that user's/subscriber’s access in order to preserve system security. In all such cases, we will contact the user/subscriber as soon as feasible. In the event that Tadlock Templates disables your account, absent a subpoena or court order, no information about your account will be provided to anyone outside Tadlock Templates, including you or an authorized contact, until the investigation is complete.

3.5 You understand and agree that you are fully responsible for all activities that occur with the use of your password or account. You agree to notify Tadlock Templates immediately of any unauthorized use of your account, user name or password.

We shall not be liable for any loss or damage you incur as a result of someone else's use of your account, user name or password, either with or without your knowledge, and you may be held liable for any loss or damage incurred by Tadlock Templates due to someone else's use of your account, user name or password.

3.6 You may terminate your account at any time, subject only to completion of any pending payments, by contacting Tadlock Templates.

3.7 In the event that you dispute a transaction you agree to contact Tadlock Templates immediately and allow us an opportunity to investigate the matter.

PERMISSION FOR USE AND RESTRICTIONS ON PERMISSIBLE USER CONDUCT

4.1 Tadlock Templates grants you as the user permission to access the Tadlock Templates site, its content and products, and to purchase a license allowing you to download and use the products, solely for your personal, non-commercial use, and in compliance with the terms of this Agreement.

4.2 You understand and acknowledge that you are prohibited from using the Tadlock Templates site to: (a) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity, including through the manipulation of identifiers or other data; (b) interfere with or disrupt the Tadlock Templates site or servers or networks connected to the Tadlock Templates site, including any action that imposes an unreasonably or disproportionately large load on the Tadlock Templates site infrastructure; (c) interfere with or circumvent the security features of the Tadlock Templates site or a related website; (d) upload or transmit any worms or viruses or any other type of malicious code of a destructive nature that will or may be used in any way that will affect the functionality or operation of the Tadlock Templates site, other websites or the Internet.

4.3 You understand and acknowledge that you are prohibited from using the Tadlock Templates site, its content or products: (a) for any unlawful or illegal purpose; (b) to intentionally or unintentionally violate any federal or state policies, regulations, laws or local ordinances.

4.4 You understand and acknowledge that you are prohibited from: (a) falsifying or deleting any proprietary designations with respect to the Tadlock Templates site, its contents or products; (b) displaying, transmitting or otherwise distributing any information or content in violation or infringement of a third party's copyright, trademark or other intellectual property or proprietary rights and to abide by laws regarding copyright ownership and use of intellectual property.

4.5 You agree to not sell, trade, resell or otherwise exploit, whether or not for any commercial purposes: (a) your access to purchase a license to use a Tadlock Templates product, including your Tadlock Templates account identification; (b) the license to use the Tadlock Templates products which you purchased; (c) a Tadlock Template product licensed to you for your personal use.

TERMINATION OR SUSPENSION OF PERMISSION FOR USE

5.1 We reserve the right in our sole discretion at any time and without giving you prior notice to immediately terminate your access to and use of the Tadlock Templates site, its content and products for cause.

Cause for termination shall include, but not be limited to: (a) any breach or violation by you of the terms of this Agreement; (b) a request by law enforcement or other governmental agency.

Termination of access may include: (a) deactivation or deletion of your account and all related account information, content and files; (b) restriction, suspension or termination of your access to all or any part of the Tadlock Templates site, its content and products; (c) erection of a barrier to your further access to and use of the Tadlock Templates site, its content and purchase of a license for the use of the Tadlock Templates products.

5.2 Tadlock Templates will terminate your access to and use of the Tadlock Templates site, its content and products at your request and upon verification of your identity and interaction with Tadlock Templates. Your request should be addressed to support@tadlocktemplates.com.

5.3 We reserve the right in our sole discretion at any time and without giving you prior notice to immediately suspend, or terminate if appropriate, your access to and use of the Tadlock Templates site, its content and products.

Cause for suspension and/or termination shall include, but not be limited to: (a) discontinuance or material modification to the Tadlock Templates site and/or its content such as to interfere with access to the site, its content and products (or any part thereof); (b) unexpected technical or security issues with the Tadlock Templates site, its content such as to interfere with access to the site, its content and products (or any part thereof); (c) extended periods of inactivity of your account, such as the abandon of an initiated transaction.

5.4 Following termination or suspension of permission to use the Tadlock Templates site, its content and products, (a) all obligations and liabilities incurred by you prior to the termination date shall survive the termination of this agreement for all purposes, including liability for amounts due up to and including the date of termination; (b) your continued use of the Tadlock Templates site, its content and products shall be deemed unauthorized, and subject you to legal penalties.

5.5 Tadlock Templates shall not be liable to you or any third-party for termination of your account for cause and the consequential denial of access to and use of the Tadlock Templates site, its content or products by you.

USE OF WEBSITE IS AT YOUR OWN RISK

6.1 You understand and acknowledge that your access to and use of the Tadlock Templates site, its content and products is at your own risk.

6.2 You understand and acknowledge that access to and/or use of the Tadlock Templates site may be limited or delayed based on problems inherent in the use of the Internet and electronic communications and that technical processing and transmission of information may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks and/or devices, including security components that permit digital materials to be protected.

6.3 You understand and acknowledge that Tadlock Templates is not responsible for (a) the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings; or (b) for delays, delivery failures, or other damage resulting from such problems.

6.4 The Tadlock Templates site may provide links to third-party websites that are not affiliated with or controlled by Tadlock Templates; we provide these links only as a convenience.

The inclusion of any link does not imply an endorsement by Tadlock Templates of the third party site or its content. Your use of the third-party sites is subject to the conditions, if any, that each of those sites has posted and you bear all risks associated with access to and use of content provided on a third party site.

We do not warrant and have no responsibility for the availability, content, advertising, products, services or other materials available on such third-party sites, and is not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with the third-party websites.

Complaints, claims, concerns, or questions regarding third-party products, services, materials, etc. should be directed to the third-party.

7.1 The personal information you submit to Tadlock Templates is governed by the terms of the Tadlock Templates Privacy Policy Statement which is incorporated into this Agreement by reference as if set forth in its entirety and also governs your use of the Tadlock Templates site, its content and products.

LIMITATION TO OPT-OUT

8.1 You may opt-out of receiving promotional communications and unsubscribe from the Tadlock Templates mailing list and/or the Tadlock Templates newsletter “Trials and Tribulations” by using the “Unsubscribe" link.

8.2 You may not opt-out of your compliance with these Terms of Use/Terms of Service, or from your receipt of service announcements, administrative messages or transactional communications related to your account and your access to and use of the Tadlock Templates site, its content and products.

If you do not wish to comply with the Terms of Use/Terms of Service or receive service-related communications, you may terminate your account by contacting Tadlock Templates at support@tadlocktemplates.com.

TERMS OF SERVICE–TADLOCK TEMPLATES’ OBLIGATIONS AND RESPONSIBILITIES

ACCESS TO AND USE OF THE SITE, ITS CONTENT AND PRODUCTS

9.1 Tadlock Templates, LLC is the exclusive owner of, and retains all proprietary rights, title and interest to and in the Tadlock Templates site, its content and the Tadlock Templates products.

Your use of the Tadlock Templates site, its content and products is at all times governed by and subject to laws regarding copyright, trademark and other intellectual property ownership.

9.2 We reserve the right to take any of the following actions in our sole discretion, at any time, for any reason, with or without prior notice: (a) change the product description; (b) the product price; (c) remove products, content or related materials from the Tadlock Templates site.

Tadlock Templates will not be liable to you or any third party for any of the foregoing actions.

9.3 We reserve the right, at any time at our sole discretion, to refuse service to anyone, for any reason, including the right to: (a) refuse user access to the Tadlock Templates site; (b) refuse, limit or otherwise restrict an order to purchase a license to use a Tadlock Templates product.

In the event that Tadlock Templates refuse, limit or otherwise restrict an order, Tadlock Templates will attempt to notify you by contacting you at the e-mail address provided at the time the order was made.

9.4 Tadlock Templates does not license, sell or distribute any products other than the Tadlock Templates products available on the Tadlock Templates site.

9.5 We do not allow the posting directly on the Tadlock Templates website by any users or other third-parties of any material.

Any submissions, whether at our request or without a specific request from Tadlock Templates, including your own Tales or Tips, or a proposal for additional content or products, or a review of the Tadlock Templates site, its content or products should be sent by e-mail to support@tadlocktemplates.com.

9.6 You agree that your submissions will not: (a) violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right; (b) contain libelous or otherwise unlawful, abusive or obscene material; (c) contain any computer virus or other malware that could in any way affect the operation of the Tadlock Templates site or any related website. You may not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead Tadlock Templates or third-parties as to the origin of any comments.

You are solely responsible for any submissions you make and their accuracy.

You agree that we may, at any time, without restriction, edit, copy, publish, distribute and otherwise use any submission that you forward to us. Tadlock Templates is and shall be under no obligation to: (1) use any submissions; (2) pay compensation for any submissions; (3) respond to any submissions.

SITE AND PRODUCT AVAILABILITY

10.1 You understand and acknowledge that access to the Tadlock Templates site, content and products is provided on an "as is" and "as available" basis.

Access to and use of the Tadlock Templates site, its content and products is at your own risk.

10.2 You understand and acknowledge that access to and/or use of the Tadlock Templates site may be limited or delayed based on problems inherent in the use of the Internet and electronic communications and that technical processing and transmission of information may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks and/or devices, including security components that permit digital materials to be protected.

We do not warrant or guarantee that access to and use of the Tadlock Templates site, its content or the products will be available on an uninterrupted, timely, secure or error-free basis.

We assume no responsibility for (a) the lack of timeliness, delay, deletion, mis-delivery, or delivery failure of products; (b) the failure to store any user communications or account settings; or (c) for damage to your computer system or loss of data that results from the download of any content or products by reason of issues inherent in the use of the Internet and electronic communications.

10.3 Tadlock Templates takes all reasonable measures to maintain, but can not guarantee system security. If you have reason to believe that system security has been breached, please contact Tadlock Templates immediately at support@tadlocktemplates.com.

10.4 We reserve the right in our sole discretion at any time and for any reason, with or without prior notice to modify, suspend or discontinue, temporarily or permanently, all or any part of the Tadlock Templates site (or any part or content thereof).

Tadlock Templates will not be liable to you or any third party for any of the foregoing actions.

10.5 Tadlock Templates shall not be considered in breach of or default under the terms of this Agreement, and shall not be liable to you for any cessation, interruption, or delay in the performance of its obligations hereunder by reason of a force majeure event, including but not limited to natural disaster, act of God or public enemy, legal action of a court or public authority, or similar event beyond our reasonable control, whether foreseen or unforeseen.

If the duration of a force majeure event continues for 60 days or longer in the aggregate, we may immediately terminate all service and shall have no liability to the user for or as a result of such termination.

LIMITATION OF LIABILITY: DISCLAIMER

11.1 Tadlock Templates provides legal templates and related content for use by attorneys as reference materials.

Tadlock Templates is not a registered or bonded legal document assistant under California Business and Professions Code section 6400 et seq.

11.2 Tadlock Templates does not provide legal advice. To the extent the information contained on the Tadlock Templates site, its content, products and other materials including but not limited to the Tips, is of a legal nature, it is not intended to be and shall not be construed as legal advice or the practice of law. Your use of the Tadlock Templates site, its content and products will not in any circumstance create an attorney-client relationship between you and Tadlock Templates.

11.3 Your use of the Tadlock Templates site, its content and products is governed by the terms of the Tadlock Templates Disclaimer which contains additional information and reservations with respect to the use of the Tadlock Templates site, its content, products and related materials, and is incorporated into this Agreement by reference as if set forth in its entirety and which also governs your use of the Tadlock Templates site, its content and products.

11.4 We expressly disclaim any and all legal liability or responsibility for the accuracy, completeness, or usefulness of the site content, related materials or products offered through the Tadlock Templates site, or for the failure of the site content, related materials or products to meet your requirements or expectations.

We expressly disclaim any and all warranties with respect to the results that may be obtained from the use of, and reliance upon, the Tadlock Templates site, its content, products or related materials, specifically that the results will meet your requirements or expectations.

11.5 To the fullest extent permitted by law, we expressly disclaim any and all warranty obligations, of any kind, whether express or implied, with respect to the Tadlock Templates products, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

11.6 You expressly understand and agree that Tadlock Templates shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages), resulting from: (a) your access to or lack of access to the Tadlock Templates site; (b) the cost of procurement of substitute content to that of the Tadlock Templates site content or products; (c) unauthorized access to or alteration of your transmissions or data; or (d) any other matter relating to your use of the Tadlock Templates site, its content or products.

11.7 You expressly understand and agree that we shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Tadlock Templates has been advised of the possibility of such damages), resulting from your violation of the terms of this Agreement.

11.8 Except as prohibited by law, you agree that you will indemnify and hold Tadlock Templates harmless from any claim or demand, including reasonable attorneys' fees and all related costs and expenses of litigation, for damage, whether indirect, punitive, special, incidental, or consequential, arising out of or in connection with any of the following: (a) an action on contract, in negligence, or any other tortious action made by any third party arising out of or in connection with your use of the Tadlock Templates site, its content and/or products, whether or not we have been advised of the possibility of such damage; (b) a violation by you of any federal, state, or local law, statute, rule, or regulation, arising out of or in connection with your use of the Tadlock Templates site, its content and/or products, whether or not we have been advised of the possibility of such damage; (c) your breach of the provisions of this Agreement.

11.9 If liability is found on the part of Tadlock Templates in the event of a claim or demand made by any third party against you, Tadlock Templates’ liability will be limited to the amount you paid for the products, and under no circumstances will there be consequential or punitive damages.

PERMISSION AND LICENSE FOR USE

12.1 Tadlock Templates, LLC is the exclusive owner of, and retains all proprietary rights, title and interest to and in the Tadlock Templates site, its content and the Tadlock Templates products. The names Tadlock Templates, Tales from the Trenches, Tadlock Tips and Trials and Tribulations are trademarks of Tadlock Templates, LLC and all right, title and interest in the Tadlock Templates names are protected by United States trademark laws. All right, title and interest in the Tadlock Templates (the products) and the Tales from the Trenches are protected by United States copyright laws.

12.2 No rights, title or interest to and in the Tadlock Templates site, its content and/or the Tadlock Templates products are transferred to, or conferred upon you, whether by estoppel, implication or otherwise, by reason of your purchase of a license to use the products.

12.3 Your use of the Tadlock Templates site, its content and the Tadlock Templates products is at all times governed by and subject to laws regarding copyright, trademark and other intellectual property ownership.

You agree to do nothing inconsistent with or that would violate or infringe upon any copyrights, trademarks or other intellectual property or proprietary rights owned by Tadlock Templates.

12.4 Any rights not expressly granted herein are reserved by Tadlock Templates, including the right to protect its right to the exclusive use of its trademarks, and copyrights against infringement thereof by any party or parties, including the user.

12.5 Tadlock Templates allows you to purchase, in accordance with the terms and conditions of this Agreement, a limited, personal, revocable, non-exclusive, non-transferrable license authorizing you to download and use the Tadlock Templates products, including but not limited to the intellectual property contained therein, solely in compliance with the terms of this Agreement.

12.6 The license to use the Tadlock Templates products authorizes you to modify, edit, copy and create a derivative work by incorporating the Template, in whole or in part, into another legal document, to be used in the course, and for the purpose, of your law practice, or, if you are not an attorney, your legal case.

12.7 The license to use the Tadlock Templates products does not give you any right, title, or interest in the Tadlock Templates site, its contents and products other than the right to use the same in accordance with the terms of this Agreement. Any unauthorized use of the Tadlock Templates products, in whole or in part, is strictly prohibited.

12.8 The license to use the Tadlock Templates products is exclusive to the purchaser for your personal use in the course, and for the purpose, of your law practice and your client, or, if you are not an attorney, your legal case, and for no other purpose whatsoever.

The license to use the Tadlock Templates products does not permit you to exploit for commercial purposes the Tadlock Templates products.

You are prohibited from assigning, transferring, conveying or delegating in any manner the license to use the Tadlock Templates products; any purported assignment, transfer, conveyance or delegation will be null and void.

12.9 You agree that you will not do anything that might reasonably be expected to damage the reputation of, bring into public disrepute, destroy or diminish the value or goodwill of the Tadlock Templates products or the Tadlock Templates trademark.

TERMINATION OF PERMISSION AND LICENSE FOR USE

13.1 Permission to use the Tadlock Templates site, its content and products terminates automatically and without notice if you breach, or if Tadlock Templates suspects that you have breached, any of the provisions of the Terms of Use/Terms of Service Agreement.

Such breach includes the following: (a) an active violation of one or more of the terms; (b) a decision by you that one or more of the terms of this Agreement are not acceptable and a refusal to comply with the unacceptable term(s).

13.2 We reserve the right, in our discretion and without prior notice, to immediately terminate your Tadlock Templates account and/or permission to access and use the Tadlock Templates site, its content and products. Cause for such termination shall include, but not be limited to: (a) breaches or violations of the Terms of Use/Terms of Service; (b) requests by law enforcement or other government agencies; (c) a request by you (self-initiated account deletions); (d) discontinuance of, or material modification to the Tadlock Templates site (or any part thereof); (e) unexpected technical or security issues or problems; and (f) extended periods of inactivity.

13.3 Termination of your Tadlock Templates account and/or permission to access and use the Tadlock Templates site, its content and products includes: (a) suspension, termination or removal of your access to the Tadlock Templates site, its content and products; (b) de-activisation or deletion of your password and all related account information, files and content associated with your account; and (c) barring your further use of the Tadlock Templates site.

13.4 You agree that all terminations for cause shall be made in our sole discretion and that we shall not be liable to you or any third-party for any termination of your account, any associated email address, or access to the Tadlock Templates site, its content and products.

13.5 On termination of your Tadlock Templates account, you agree to immediately destroy any downloaded or printed Tadlock Templates products. Your continued use of the Tadlock Templates products shall be deemed an unauthorized use and further breach of the contract created by these Terms of Use/Terms of Service and may be deemed to violate copyright laws, and all related regulations and statutes.

PRODUCT RETURN POLICY

14.1 All transactions are final. Except in the event a Template is damaged and rendered defective during transmission, all transactions are final and Tadlock Templates will not accept any returns and will not exchange any products purchased through the Tadlock Templates site

Tadlock Templates will exchange or provide a refund for a Template purchased through the Tadlock Templates site that may have been damaged and rendered defective during transmission, on condition that the problem is reported to support@tadlocktemplates.com within 5 days of purchase.

If you are not satisfied with the transaction or a Template, please contact Tadlock Templates at support@ tadlocktemplates.com.

USER DATA RETENTION POLICY

15.1 Tadlock Templates will retain your personal information for as long as we may reasonably require it for legal or business purposes, taking into consideration local laws, contractual obligations, and the expectations and requirements of our users, in order to: (a) provide you services; and (b) comply with our legal obligations; (c) resolve disputes; and (d) enforce our agreements. Tadlock Templates may maintain some or all of this data in its archives even after it has been removed from the Tadlock Templates site. When your personal information is no longer needed it will be securely deleted or destroyed.

Tadlock Templates’ obligations with respect to your personal information is set forth in detail in the Tadlock Templates Privacy Policy Statement which is incorporated into this Agreement by reference as if set forth in its entirety and also governs your use of the Tadlock Templates site, content and products.

16.1 The Terms of Use and Terms of Service constitute the entire agreement and understanding between you and Tadlock Templates and govern your use of the Tadlock Templates site, its content and products, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Use/Terms of Service).

16.2 Any rights not expressly granted herein are reserved by Tadlock Templates.

Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

16.3 Any ambiguities in the interpretation of the terms of this Agreement shall not be construed against Tadlock Templates as the drafting party.

16.4 In the event that any of the terms of this Agreement is found by a court of competent jurisdiction to be unlawful, invalid, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from this Agreement. The parties agree that such determination shall not affect the validity and enforceability of any other remaining provisions and that the court should endeavor to give effect to the parties' intentions as reflected in the severed provision, and the remaining terms of this Agreement will remain in full force and effect.

16.5 This Agreement and the relationship between you and us shall be governed by and construed in accordance with the substantive and procedural laws of the State of California.

DISPUTE RESOLUTION

17.1 Most user concerns, issues or complaints can be resolved quickly and to the user’s satisfaction by contacting Tadlock Templates. We will make every effort to resolve any complaint to our mutual satisfaction, within the parameters of this Agreement.
